The Devon Energy Corporation has offered $140 million to the Hondo Oil and Gas Company for most of Hondo's domestic oil and gas reserves and seven natural gas processing plants. Adjustments for reserves produced and cash flow from operations before to closing are expected to reduce the net purchase price to $130 million, Devon said.

The International Paper Company said it had tentatively agreed to acquire roughly an 11 percent stake in Israel's Scitex Corporation for $209 million in a private placement. Under terms of a letter of understanding, International Paper, based in Purchase, N.Y., will buy 4.75 million newly issued shares of Scitex for $44 a share.

The Zale Corporation will run out of money next week if $30 million in emergency financing is not approved, a lawyer for the nation's largest retail jeweler told a Federal bankruptcy court judge. The lawyer, Margaret Mahoney, asked Judge Steven Felsenthal to ignore opposition by creditors of Gordon's jewelers and allow the $30 million advance on a $510 million bankruptcy financing agreement with Chemical Bank. Gordon's creditors oppose the interim financing arrangement, arguing that it forces Gordon's to guarantee the loan without receiving any of the money.

THE day after General Motors announced that it would close its assembly plant in North Tarrytown, N.Y., a Washington think tank released a report calling the plant a model of successful cooperation between management and labor. "One of the key factors in the success of the Tarrytown program was that labor and management were able to establish mutual trust where before it had never existed," said the report issued Tuesday by the private Employment Policy Foundation. "Because the cooperative effort was agreed to voluntarily, both sides became convinced of the other's sincerity and commitment."

An executive of the Taiwan Aerospace Corporation was quoted today as saying the company might purchase as little as 25 percent of the McDonnell Douglas Corporation's commercial aircraft business, rather than the 40 percent the companies originally anticipated. McDonnell Douglas and Taiwan Aerospace have said since the deal was announced last year that Taiwan Aerospace might opt to take less than 40 percent. But the suggestion that Taiwan Aerospace might decide on 25 percent seemed to confirm speculation that the deal is encountering political and financial problems in Taiwan.

The BankAmerica Corporation, by promising to increase the number of branches and amount of deposits it will divest itself of, has obtained the Justice Department's approval for its pending acquisition of the Security Pacific Corporation. BankAmerica also reached a separate agreement today with the Attorney General of the State of Washington, and together the pacts sweep away two of the biggest obstacles remaining to the merger. The deal has raised antitrust concerns because it would create a banking behemoth that would dwarf its competitors in the Western states. The merger is still subject to the approval of the Federal Reserve Board.
